Your Health Care Employment Contract Lawyer

Meet Our Founder,
Attorney Eric Poole

My name is Eric Poole. I’m not a doctor. But when I graduated with my MBA after earning a law degree from the University of Virginia, I made a choice: to dedicate my career to helping doctors help others. That eventually led to over a decade in health care, culminating as Chief Legal Officer and co-Chief Operating Officer of large provider groups serving millions of patients. As part of that work, I reviewed or negotiated hundreds of doctor-employment contracts.Over the years, I saw again and again how signing a well-balanced contract can help a doctor feel more fulfilled and supported, insulated from burnout and ready to work at the top of their game for patients.More often, however, I saw how signing a bad contract can make a doctor feel trapped -- overworked, undersupported and disconnected from family due to long hours and a lack of promised resources.I can’t tell you how many doctors asked me if I could help them get out of a bad contract they’d signed. Usually, all I could tell them was to come see me in six months or a year.It was the worst part of the job: seeing passionate, dedicated doctors teetering on the edge of exhaustion or held back from delivering the highest standard of care. But by then, it was too late for me to do anything about it.I started Doctor Contract Review to change that.We help doctors bring the same level of expertise to the table as their employer during employment contract review and negotiation. We use what we know to level the playing field, to make sure doctors get all the compensation and benefits they deserve.

Our Comprehensive,
Five-Step Contract Review Process

The biggest hurdle facing doctors during the contract negotiation process is also the most obvious: you're smart, but you're not a lawyer. You might not know the right questions to ask to get the answers you need, or how to see through the obfuscating language employers use to lock doctors into terms they don't want and would never agree to otherwise. Eric does.Unlike other contract-review services, we'll be there with you every step of the negotiation. And we've got the experience to get you the terms you want. You're always working for others in need. Let Doctor Contract Review work for you during your next contract review.

Step 1:

An Introductory Call

At Doctor Contract Review, our goal is to fully understand your situation and your needs, so we can customize our services for your unique situation. That's why every doctor contract review begins with a brief, 15-30 minute call with Eric Poole. Questions he will likely explore include:

  • How does the job fit into your career stage and overall career plan?

  • What are your priorities over the life of the contract? Paying off education debt, a better work/life balance, more time for research, flexibility that opens the door to relocation or something else?

  • What are your "must-haves," "nice-to-haves" and "never-evers"?

  • What is your family situation, and does that play a factor in your decision?

Step 2:

Contract and Offer-Letter Review

Eric Poole will then thoroughly review your offer letter and contract. Shortly after, he'll email a detailed report explaining the major terms in the contract in easy-to-understand language, followed by a summary of opportunities for improvement. Issues Eric will consider include:

  • Do the proposed financial compensation and benefits align with Medical Group Management Association (MGMA) benchmarks?

  • Do the proposed hours spent at work and on call meet your expectations and ensure a good quality of life?

  • Does the contract protect your interests with adequate malpractice insurance coverage?

  • Are any included non-compete and termination clauses fair to you as a doctor?

  • Does the contract contain any hidden "bombs" or omissions that could come back to haunt you?

Step 3:

Opportunities for Improvement and Negotiation Strategy

Once the contract has been reviewed and a report is sent to you, we'll have another 15-30 minute call or series of emails to discuss the opportunities and develop the best negotiation strategy. Things we'll discuss include:

  • Does the contract fulfill your personal "must-haves" and "never-evers" while including enough of your "nice to haves"?

  • How does the offer compare to your other options?

  • Are the schedule, production, staffing levels and equipment mentioned by the employer just promises… or are they ironclad, contract-backed guarantees? Eric will coach you on "due diligence" questions you can ask to know for sure.

Once you've worked out those issues, Eric will then create and send a final “redline” copy of the contract, incorporating proposed changes and compromises. This redline version can then be forwarded to the employer as part of ongoing negotiations.

Step 4:

Negotiation and Counteroffer Review

Once the employer responds to the redline copy of the contract, we'll review the response together and decide on next steps, whether that's accepting changes, pushing back on certain line items or proposing further compromises. This collaboration can be handled by email or phone, depending on the employer’s response and your schedule. Throughout the process, Eric will coach you on the right questions to ask your employer, getting you the answers you need to make the best decision. We'll repeat this step until you get the best possible compensation for your skills, and a contract you feel good about signing.

Step 5:

Unlimited Contract Consultation for 1 Year

Have questions about your contract going forward? Our contract review service includes prompt, unlimited answers to any questions you might have regarding your contract for a full year.

Frequently Asked Questions

Have questions about your health care provider contract or our processes? Read on for answers to clients' most frequent questions from our founder Eric Poole.

What if the employer says that the contract is non-negotiable?

Eric: With health care provider shortages at an all-time high in the post-pandemic era, doctors have never had as much negotiating power as they do right now. The truth is: almost all employers will accept changes to your employment agreement, no matter what their recruiter tells you. Even in the rare instance where certain legal terms involved are truly non-negotiable, there are often opportunities to boost your salary, bonuses and benefits. Not only will Doctor Contract Review help you receive what you deserve, I'll explain the legalese in your contract in terms that you understand, and also coach you on questions to ask that can confirm whether claims made about patient scheduling, potential production, staffing or equipment are real.

Do you review health care employment contracts in my state?

Eric: Yes, we review contracts in all 50 states.

Do you review contracts in my practice area or specialty?

Eric: Yes, we review health care contract agreements in all practice areas and specialties.

What if I need help with more than one contract?

Eric: If you have more than one offer and you need help making a decision, we can review a second or subsequent contract for 50 percent of the initial fee. Or we can just review the contract that is your primary choice.

Can you also review my letter of intent (LOI) or term sheet?

Eric: Yes! Reviewing and negotiating the LOI or term sheet is an integral part of the contract review process and is fully included in our process. While these materials are considered “non-binding,” it can be very hard to go back and change something in them during the contract drafting process, so getting them right is critical.

How much do Doctor Contract Review services cost?

Eric: At Doctor Contract Review, we do everything we can to make the doctor contract review process quick, easy and affordable. Part of that is our dedication to simple, flat-fee pricing that includes everything, from initial consultation to signing a great, well-balanced contract that works for you. Currently, our fee for contract review services is $895.

What is the average turnaround time for the contract review process?

Eric: Speed in these issues is essential. That's why we'll have a detailed report that includes opportunities for improvement back to you within three business days of receiving your contract. After we've discussed a strategy to secure the compensation and benefits you need, we'll turn around a final “redline” copy of the contract with suggested additions within 24 hours.

I'm currently on a J-1 or H1-B visa. Can you help me?

Eric: Absolutely! I'm very familiar with visa-related employment issues that affect health care providers. If we identify that you need specialized immigration services, I can recommend a trusted immigration attorney with a wealth of experience in these matters. The immigration attorney will handle any visa issues while I will handle the contract. (Please note that the cost of that specialized immigration attorney is outside of our flat fee services).
